The operation will be financed by 2.700 million dollars in cash and the emission of 15,4 million actions of Global SES.
The merger will be joined to SES, operator of Astra, by European leader of the direct broadcasting, and at the same time shareholder of other signatures of the sector (NSAB, AsiaSat, Star One), with Ge American Communications (GE Americom), branch of GE, which it exploits between another 13 communications satellites in North America.
Both companies show several "strong points" of his alliance: "a global geographical coverage, a strong regional presence, a diverse clientele and Finished services".
At the end of the operation, Global SES will possess all the shares of the group SES, in particular SES Astra (100 %), SES Americom (100 %), Multimedia SES (100 %), AsiaSat (34,10 %), NSAB (50 %), Star One (19,99 %) and the interests of Americom in Latin America and Asia.
The value accionarial of Global SES after the operation will be 14.000 million euros (approximately 12.600 million American dollars).
SES Global one of services will turn into the world provider number of wide band for satellite, with a combined fleet of 28 satellites into exclusive property (11 satellites Astra and 17 satellites GE) and 13 supplementary satellites thanks to alliances and shares.
SES Global it will offer a finished scale of services of diffusion, audio-visual, of wide and multimedia band.
The gross business volume of Global SES for the exercise 2000 rose up to 1.410 million euros (US$ 1.250 millions), and the result before taxes, up to 1,1 trillion euros (US$ 1.000 millions), what it places to the company in the first line of the sector.
